YogaHolidays.com (the âPlatformâ) is operated by GLOBAL RETREATS SRL, Strada SperanČei nr. 9C, 907195 Mihail KogÄlniceanu, ConstanČa County, Romania, EU, Trade Register No. J2017003897135, VAT ID RO38591710, email office@yogaholidays.com (âYogaHolidays.comâ, âweâ, âusâ).
These Partner Terms govern the relationship between YogaHolidays.com and any business that lists retreats on the Platform (an âOrganizerâ, âyouâ). âGuestâ means a person who inquires about or books a retreat through the Platform. âBookingâ means a confirmed reservation made through the Platform. âCommission Rateâ means the commission rate that applies to you, as communicated during onboarding, displayed in your Organizer dashboard or otherwise agreed in writing, as amended from time to time under these Partner Terms. âDepositâ means the part of the total booking price that a Guest pays through the Platform when booking, in the amount shown to the Guest before payment.
The Platform is for businesses only. By registering, you confirm that you act in the course of your trade, business or profession, and that the person accepting these terms is authorized to bind the Organizer.
You accept these terms by ticking the acceptance box when you register or when you log in to your dashboard. We record the date, time and version you accepted. Our Terms of Service, Privacy Policy and Trust & Safety page also apply to your use of the Platform. If they conflict with these Partner Terms on the relationship between you and us, these Partner Terms prevail.
YogaHolidays.com is an online marketplace. We present your retreats to Guests, provide inquiry and booking tools, and collect the Deposit on your behalf. We do not organize, sell or provide retreats.
You are the seller and provider of your retreats. The contract for a retreat is concluded directly between you and the Guest. You are named as the provider on the listing and in every booking confirmation.
Package travel laws. You are responsible for complying with package travel, linked travel arrangement and other travel laws to the extent they apply to you and the retreats you offer. Where such laws apply, the legal status, rights and obligations of you, YogaHolidays.com and the Guest are determined by applicable mandatory law. Nothing in these Partner Terms excludes, limits or reallocates any responsibility that applicable mandatory law assigns to either you or YogaHolidays.com.
Nothing in these terms creates a partnership, joint venture or employment relationship between you and us.
Accuracy. You are responsible for the accuracy and completeness of your listings. This includes the program, teachers, venue, accommodation, meals, transfers, prices, dates, availability, what is and is not included, participation requirements and your cancellation policy. You must update a listing promptly when anything changes.
Review and editing. We review listings before they go live. Our editors may write or edit listing text for clarity, consistency, translation or search optimization, based on the information you provide. We will not change facts such as prices, dates or inclusions without your approval. We may decline or remove a listing that is inaccurate, incomplete, unlawful or does not meet our quality standards.
Content rights. You may only provide text, photographs, videos, logos and other material that you own or are authorized to use. You grant YogaHolidays.com a non-exclusive, royalty-free, worldwide license to host, display, adapt, translate and promote that material on the Platform and in our marketing, including social media, newsletters and advertising, for as long as your listing is active and as needed for lawful records. You confirm that our use of the material will not infringe anyoneâs rights.
Photographs must show your actual venue, rooms and activities, unless they are clearly labelled as illustrative.
Confirmed and on-request dates. For dates you mark as confirmed, a Guestâs booking is accepted automatically, and you must honor it. For dates on request, you must accept or decline a booking request within 48 hours. If you do not respond in time, the request is declined and the Guestâs Deposit is refunded.
Booking confirmation. We send the Guest a booking confirmation that names you as the provider of the retreat. It states the services, dates, total price, Deposit paid, balance due to you, how to pay it and your cancellation policy. You receive a copy in your dashboard.
Cancellation policy. You set your own cancellation policy, including when the Deposit becomes non-refundable. It must be fair, lawful and clearly stated on each listing. The policy shown at the time of booking applies to that booking.
Material changes to confirmed bookings. You must promptly notify us and affected Guests of any material change to a retreat after a booking has been confirmed, including a significant change to its dates, location, accommodation, duration or essential included services. You remain responsible for any refund, alternative arrangement or other obligation arising from that change under your booking conditions and applicable law.
Cancellations and responsibility for refunds. If you cancel a Booking or cannot provide the retreat as agreed, you must inform the Guest and us immediately.
Whenever a refund is due under the applicable cancellation policy or mandatory law, YogaHolidays.com will refund the refundable portion of the Guestâs payment that it still holds, including any commission retained where a full refund is due. You must refund the refundable amounts you have received, including payments made directly by the Guest and any part of the Deposit transferred to you by us.
Where a full refund is due, these refunds must together cover the Guestâs entire payment. Refunds must be made without undue delay and within any applicable statutory deadline; if you cancel the Booking, within 14 days of cancellation.
You authorize us to recover amounts from you or deduct them from future payouts if we refund the Guest on your behalf for sums already transferred to you. You must not refund amounts already returned by us, and both parties will coordinate to prevent duplicate or missing refunds.
This allocation of refund responsibilities does not limit the Guestâs mandatory rights or either partyâs obligations under applicable law.
Commission. You pay us commission at your Commission Rate on Bookings made through the Platform and on bookings concluded directly with a Guest where commission is payable under the no-circumvention rules in section 8.
If a Guest first sends you an inquiry or contacts you through the Platform, and you subsequently arrange or accept substantially the same booking directly or through another payment or booking channel to avoid the Platformâs commission, the commission remains payable as if the booking had been completed through the Platform. This applies for 12 months from the Guestâs first contact with you through the Platform. It does not apply where you can reasonably demonstrate that the booking arose from an existing business relationship with the Guest that began independently of YogaHolidays.com.
You must notify us within 7 days of confirming any such direct booking and provide the booking date, retreat dates and total booking price reasonably necessary to calculate the commission. We will invoice the commission, plus any VAT legally applicable, and you must pay it within 14 days of the invoice date. The Commission Rate applicable when the direct booking is confirmed will apply, including any individually agreed rate protection.
Your Commission Rate is communicated to you before you accept bookings through the Platform and is shown in your Organizer dashboard. You may choose a higher rate for any listing in your dashboard (see section 6). Listing your retreats is free.
Unless expressly stated otherwise, commission is calculated on the total booking price payable by the Guest for the retreat, including mandatory charges included in that price, but excluding taxes that applicable law requires to be separately stated and collected.
Changes to commission. We may change the Commission Rate for future bookings by giving you the notice required under section 14. A change does not affect Bookings confirmed before it takes effect. Where a rate has been individually agreed with you for a specified period, that rate continues to apply for that period unless otherwise agreed in writing.
Deposit. Guests pay the Deposit by card through our payment provider, Stripe, when they book. The Deposit is at least equal to your Commission Rate. You may set a higher Deposit percentage in your dashboard.
Our role in collecting the Deposit. You appoint GLOBAL RETREATS SRL as your commercial agent, acting only on your behalf, to collect the Deposit from the Guest. Payment of the Deposit to us counts as payment to you. We retain our commission and any VAT we are legally required to charge on it from the Deposit and issue you an invoice. If the Deposit does not cover both amounts, you must pay the shortfall within 14 days of the invoice date. This does not increase the Guestâs agreed total price or the balance payable by the Guest.
Payout of any excess. Where the Deposit exceeds our commission plus any VAT we are legally required to charge on it, we pay you the remaining amount within 14 days after the Deposit becomes non-refundable under your cancellation policy. Payouts are made in the currency and by the payment method made available or agreed with you. Any exchange rate or conversion fee applied by the relevant bank or payment provider may apply. You must keep your bank details complete and up to date. We are not responsible for delays or failed payouts caused by incorrect details you supplied, and we may deduct reasonable third-party costs of repeating such a payment.
Balance. The Guest pays you the remaining balance directly, as described in the booking confirmation. You issue the Guest any invoice or receipt for the retreat required by your local law.
When commission is due. Commission is earned when a Booking is confirmed through the Platform or when a direct booking subject to commission under this section and section 8 is confirmed with the Guest.
If the Organizer cancels, or the Guest is entitled to a full refund under the applicable cancellation policy or mandatory law, no commission is due. We issue a credit note for any commission already invoiced and refund or offset any commission and related VAT already collected, as appropriate.
For other Guest cancellations, commission remains due where the Organizer is entitled to retain a non-refundable payment under the applicable cancellation policy and mandatory law.
These rules apply equally to bookings made through the Platform and direct bookings subject to commission under section 8. For direct bookings, the Organizer must provide reasonable evidence of the cancellation and any refund made or legally due.
Payment processing costs. Unless otherwise agreed, we bear the ordinary payment processing costs of collecting the Deposit. This does not include chargebacks, reversals or exceptional payment provider costs arising from your acts or omissions, including your cancellation of a Booking, which we may recover from you.
Chargebacks and payment disputes. If a payment relating to a Booking is charged back, reversed or otherwise recovered from us by a payment provider, we may recover from you any amount attributable to you that has already been paid or credited to you, by deducting it from future payouts or by invoicing you. You must cooperate with us and provide any information or evidence we reasonably request. You are not responsible for a chargeback to the extent it results solely from our own error, fraud or breach of these Partner Terms.
Taxes. Each party is responsible for its own tax obligations. Our commission is exclusive of VAT. Where we are legally required to charge VAT on our commission, it is payable by you in addition to the commission. Where the reverse-charge mechanism applies, we do not charge VAT and you are responsible for accounting for it as required by law. VAT on our commission does not increase the Guestâs agreed total retreat price. This does not affect our own responsibility for taxes, VAT and invoices relating to our commission and services.
By default, search and category results are ordered by the following main factors:
Reviews: the rating and number of verified reviews.
Commission: your Commission Rate for the listing. You can choose a higher rate in your dashboard, and a higher commission can improve a listingâs position.
Performance: how the listing performs on the Platform, such as inquiries and bookings received.
Availability: whether the retreat has open dates, especially for the dates a Guest searched.
Popularity: how often Guests view the listing.
Featured listings. Our team selects a small number of listings to feature on the homepage and at the top of search results, based on quality and relevance to Guests. Featured listings are labelled âFeaturedâ. Organizers cannot pay to be featured.
Spotlight (beta). Spotlight is a paid promotion service that gives a listing extra visibility on the Platform. It is currently in a test phase and is offered only by separate agreement. Prices and conditions are provided before you buy. Spotlight listings are always labelled âSponsoredâ for Guests.
Guests can also filter and sort results themselves. On the results page, we tell Guests that commission and sponsored placements can affect ranking. We do not offer retreats of our own on the Platform.
Organizers must not submit reviews of their own retreats, impersonate Guests, arrange fake reviews, or offer incentives conditional on a positive review or the amendment or removal of a negative review. Organizers cannot edit or delete Guest reviews. Suspected breaches may be reported to office@yogaholidays.com for review.
External testimonials may be displayed separately from reviews collected through YogaHolidays.com. They are labelled as external and not verified by YogaHolidays.com, identify their original source and publication date, and include a source link where available. They are not included in the YogaHolidays.com rating. Testimonials supplied or selected by an Organizer are identified as such and do not represent a complete or independent collection of guest feedback. We may decline or remove testimonials whose source or permission to republish cannot be established.
You may contact Guests who booked through the Platform as needed to provide the retreat. You may send Guests marketing only if they have separately agreed to receive it from you.
No circumvention. You must not encourage, request or require a Guest who first contacted, enquired about or booked your retreat through the Platform to complete substantially the same booking outside the Platform in order to avoid commission. This applies to bookings resulting from that introduction for 12 months from the Guestâs first contact with you through the Platform. It does not apply where you can reasonably show an existing business relationship with the Guest that began independently of YogaHolidays.com.
You remain free to sell your retreats through any other channel and at any price you choose.
You must comply with all laws that apply to your retreats, in your country and at the retreat location. In particular, you are responsible for:
any licences, permits and registrations required to offer accommodation, travel, food or activities;
package travel rules, including insolvency protection, where they apply to your retreats;
consumer protection rules, including clear pricing and fair cancellation terms;
health and safety, including qualified teachers and staff, safe premises and activities, and emergency procedures;
tax obligations, including invoicing Guests and paying taxes on your income;
holding adequate liability insurance for your retreats.
You must provide accurate information about your business identity and contact details, and update it if it changes. We may ask for evidence of the above at any time, and may suspend listings until we receive it.
Cooperation and records. You must reasonably cooperate with us in investigating Guest complaints, refund requests, payment disputes, suspected fraud and regulatory enquiries relating to you or your retreats, and provide relevant booking records and communications on request, subject to data protection law.
You and we each act as an independent controller of the Guest personal data we each process. We share with you the Guest data needed to handle an inquiry or Booking. You may use it only for that purpose and must protect it in line with the GDPR and other applicable data protection law.
Where sharing Guest personal data with you constitutes a restricted international transfer under the GDPR, we will establish an applicable transfer mechanism before making that data available. Where we rely on the European Commissionâs Standard Contractual Clauses, the relevant clauses, selected options and completed annexes must form a binding agreement between us. You must provide the information and cooperation reasonably required to establish and maintain these safeguards.
In your dashboard you can see the inquiries and Bookings for your own listings and basic statistics about them, such as views. We keep Platform data, including aggregated data about Guest behaviour, and do not share one Organizerâs data with another.
By us. We may restrict, suspend or remove a listing or your account if you breach these terms, if we receive credible reports of fraud, unsafe conduct or illegal content, or if the law requires it. We will send you a statement of reasons before or when the measure takes effect, and you can reply to clarify the facts.
We may end our relationship with you for any reason with 30 daysâ written notice. We may end it immediately, with a statement of reasons, if the law requires it, or in case of repeated breaches, fraud or illegal content.
By you. You may end these terms at any time by notifying us or deleting your account.
Effect. Confirmed Bookings remain valid after termination. You must honor them, and the commission on them remains due.
If you have a complaint about how we apply these terms, email office@yogaholidays.com with the subject âPartner complaintâ. We will review it and reply within a reasonable time, normally within 15 working days.
We are responsible for providing the Platform with reasonable care. We do not guarantee any number of inquiries or Bookings.
To the extent permitted by law, our total liability to you in any 12-month period is limited to the commission you paid us in that period. This limit does not apply to damage caused intentionally or by gross negligence, or to any liability that cannot be limited by law.
You will indemnify YogaHolidays.com against claims, losses and costs, including reasonable legal fees, arising from your retreats, your listings, the material you provide or your breach of these terms or of applicable law.
We will notify you of any change to these terms by email and in your dashboard at least 15 days before it takes effect, or longer if the change requires you to make significant adjustments. You may end these terms before the change takes effect. We may make a change sooner only where the law or a serious and imminent risk to Guests requires it.
These terms are governed by Romanian law. The courts of ConstanČa, Romania, have jurisdiction over disputes between you and us. If these terms are translated, the English version prevails.
